1. Acceptance of Terms

By accessing or using SnapEstimate ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Description of Service

SnapEstimate is a software platform that helps contractors create, manage, and deliver project estimates to their customers. The Service includes estimate generation, customer management, lead tracking, team collaboration, and related tools. We may update, modify, or discontinue features of the Service at any time.

3. Account Registration & Security

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4. Subscription Plans & Billing

SnapEstimate offers both free and paid subscription plans:

• Free plan: subject to usage limits on estimates, leads, and features as described on our pricing page. Free plans may include SnapEstimate branding on customer-facing documents.
• Monthly plans: billed on a recurring monthly basis at the rate shown at the time of purchase.
• Annual plans: billed as a single upfront payment for a 12-month period at a discounted rate. Annual pricing reflects a commitment to the full term.

All prices are in U.S. dollars unless otherwise stated. We reserve the right to change pricing with reasonable notice. Price changes will not affect your current billing period.

5. Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period (monthly or annually) until canceled:

• Cancellation: you may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then.
• Monthly plans: cancellation prevents the next monthly charge. You retain access through the end of the current month.
• Annual plans: cancellation prevents renewal at the end of the annual term. You retain access through the end of the prepaid year.

6. Refund Policy

Our refund policy is as follows:

• We do not provide prorated refunds for unused portions of a billing period.
• Annual subscriptions are non-refundable once the billing period has begun, except where required by applicable law.
• In exceptional circumstances, refunds may be granted at our sole discretion. Contact support@fillay.com if you believe a refund is warranted.
• Free trial periods, if offered, do not result in charges if canceled before the trial ends.

7. Acceptable Use

You agree to use SnapEstimate only for lawful business purposes. You must not:

• Use the Service for any illegal or fraudulent activity.
• Send spam, misleading, or deceptive communications through the platform.
• Attempt to access other users' accounts, data, or workspaces without authorization.
• Interfere with or disrupt the Service or its infrastructure.
• Use automated tools to scrape, harvest, or extract data from the platform.
• Violate any applicable local, state, national, or international law or regulation.

We reserve the right to suspend or terminate accounts that violate these terms.

8. Your Data & Responsibilities

You retain ownership of all data you enter into SnapEstimate, including customer information, estimates, leads, and business records. You are responsible for:

• The accuracy and legality of all information you enter, including customer contact details and project descriptions.
• Obtaining any necessary consents from your customers before entering their information or sending them communications through the platform.
• Ensuring that estimates and communications sent through the Service are truthful and comply with applicable consumer protection laws.
• Maintaining your own backups of critical business data.

We are not responsible for the content, accuracy, or legality of estimates, customer communications, or other materials created or sent using the Service.

9. Estimate Delivery & Communications

SnapEstimate provides tools to deliver estimates to your customers via email, SMS, and shareable links. Regarding these communications:

• We facilitate delivery but do not guarantee that all communications will be received by the intended recipient.
• Email and SMS delivery depends on third-party services and recipient settings.
• You are solely responsible for the content of estimates and messages sent to your customers.
• Customer responses (approvals, change requests) are recorded and made available to you through the platform.

10. AI-Generated Content

SnapEstimate uses artificial intelligence to help generate estimate content, including line items, scope descriptions, and pricing suggestions. AI-generated content is provided as a starting point and may contain errors. You are responsible for reviewing, editing, and approving all estimate content before sending it to customers. We make no guarantees regarding the accuracy or completeness of AI-generated suggestions.

11. Intellectual Property

The SnapEstimate platform, including its design, code, features, and branding, is owned by Fillay LLC. You may not copy, modify, distribute, or create derivative works of the Service without our written permission. You retain ownership of your business data and content.

12. Limitation of Liability

SnapEstimate is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost data, or business interruption.

13. Indemnification

You agree to indemnify and hold harmless Fillay LLC, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the platform or sending an email. Your continued use of SnapEstimate after changes take effect constitutes acceptance of the updated terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
